1. Acceptance of Terms

GreenRoute is a product of Maranatha Technologies. References to “GreenRoute,” “we,” “us,” or “our” in these Terms refer to Maranatha Technologies.

By accessing and using GreenRoute (“Service”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

GreenRoute provides a cloud-based business management platform designed specifically for lawn care and landscaping businesses. The Service includes features for customer management, contract creation, invoicing, payment processing, scheduling, and related business management tools.

3. User Accounts

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must provide accurate and complete registration information. You agree to update your information to keep it accurate and current.

4. Subscription and Billing

Free Plan: GreenRoute offers a free Starter plan with limited features. We reserve the right to modify or discontinue the free plan at any time with reasonable notice.

Paid Plans: Paid subscriptions are billed monthly in advance. You authorize us to charge your payment method on a recurring basis. Subscription fees are non-refundable except as required by law.

Payment Processing: Credit card processing fees apply to online payments received through the platform. By default, processing fees are passed to the customer. You can change this setting in your dashboard to absorb fees yourself.

Cancellation: You may cancel your subscription at any time. Upon cancellation, you will not be charged for subsequent billing periods. Your account will be downgraded to the free Starter plan.

Pricing Changes:We reserve the right to change our subscription fees and pricing structure at any time. We will provide at least 30 days' advance notice of any price increase by email and/or through the Service. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree with a price change, you may cancel your subscription before the change takes effect. Your continued use of a paid plan after the new pricing takes effect constitutes acceptance of the updated fees.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Violate the intellectual property rights of others
Upload or transmit viruses, malware, or other malicious code
Attempt to gain unauthorized access to our systems or other users' accounts
Use the Service to send spam or unsolicited communications
Interfere with or disrupt the Service or servers
Resell, sublicense, or provide the Service to third parties
Access or use the Service for the purpose of building, developing, or improving a competing product or service
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data models, or underlying ideas of the Service
Systematically copy, scrape, or extract the design, layout, user interface, workflows, features, or functionality of the Service for competitive purposes
Create an account or use the Service on behalf of a direct competitor, or for the purpose of competitive analysis, benchmarking, or intelligence gathering

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and use your information as described in our Privacy Policy, which is incorporated into these Terms by reference.

You retain all rights to your customer data, contracts, and other information you upload to the Service. You grant us a limited license to use, store, and process this data solely to provide the Service to you.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by GreenRoute and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

This includes, without limitation, the Service's user interface design, page layouts, workflows, feature set, visual design, and proprietary business logic. All such elements constitute trade secrets and confidential information of GreenRoute. No right, title, or interest in the Service is transferred to you by these Terms, and all rights not expressly granted are reserved by GreenRoute.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may download your data within 30 days of termination, after which it may be permanently deleted.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

10. Indemnification

You agree to indemnify and hold harmless GreenRoute and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
